Terms of Use & Service Agreement

1. Broker-Consumer Relationship & Permitted Use

• Relationship Creation: You acknowledge and agree that you are entering into a lawful broker-consumer relationship with “Paul Ghafari” operating this VOW.
• Bona Fide Interest: You represent that you have a bona fide interest in the purchase, sale, or lease of real estate of the type being offered through this VOW.
• Personal & Non-Commercial Use: All Multiple Listing Service® (MLS®) data obtained from this VOW is intended strictly for your personal, non-commercial use. You may only use the data or Listing Information in connection with your direct consideration of the purchase, sale, or lease of an individual property.

2. Intellectual Property Rights

You acknowledge and agree to PropTx’s exclusive ownership of, and the legal validity of PropTx’s proprietary rights and copyright in:

• The MLS® database and MLS® data
• PropTx’s MLS® System
• All provided Listing Information

3. Prohibited Uses & Scraping

You agree that you will not, directly or indirectly:

• Copy, redistribute, retransmit, display, post, disseminate, publish, broadcast, transfer, sell, or sublicense any Listing Information to another individual or entity.
• Engage in “scraping” (including screen scraping and database scraping), “data mining,” or any other automated or manual activity intended to collect, store, re-organize, summarize, or manipulate Listing Information or any related data.

4. Formation of Agreement & Financial Obligations

• Acceptance: After opening and reviewing these Terms of Use, an affirmative “mouse click” or electronic confirmation constitutes your binding agreement to these terms.
• No Financial Duty or Agency: This Terms of Use agreement does not impose any financial obligation on you, nor does it create a formal real estate representation agreement between you and the Member.

5. Compliance, Monitoring & Access Rights

You expressly authorize PropTx, as well as other PropTx Members or their duly authorized representatives, to access this VOW at any time to:

• Verify compliance with MLS® Rules and Policies (including VOW Rules).
• Monitor the display of Members’ Listings on the VOW.

6. Privacy & Data Handling

• Data Collection & Sharing: Personal Information provided by you on this VOW will be collected, used, and disclosed in accordance with our Privacy Policy.
• Consent to Audit Sharing: You explicitly consent to the fact that your Personal Information may be shared with PropTx for auditing, monitoring, and/or legal compliance purposes.

7. No Claim of Complete MLS Access

This site does not represent or imply that it provides access to all listings available through the PropTx MLS® System. Not all listings may be displayed. Contact your agent for complete and current listing information.

8. Account Security

Your login credentials are personal to you and must not be shared with any other person. You are responsible for all activity that occurs under your account. Credential sharing is a violation of PropTx MLS® VOW policy and may result in immediate account termination.

Passwords must be renewed every 90 days. Sessions automatically expire after 60 minutes of inactivity.

9. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, PropTx MLS® VOW policy, or applicable law.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of this VOW after changes are posted constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
